End User License Agreement

Edgevision Remote Visual Inspection System

Effective Date: March 16, 2026

Please read this end user license agreement (“agreement”) carefully before using the Edgevision application. By activating, installing, or using the software, you agree to be bound by the terms of this agreement. If you do not agree, do not use the software.

1. PARTIES

This Agreement is entered into between AI4RVI, Inc., a corporation with its principal place of business at 31 Fairmount Ave, Chester, NJ 07930, USA (“Licensor”), and the individual or entity that has obtained a license to use the Edgevision application bundled with an Edgevision hardware system (“End User” or “you”).

2. DEFINITIONS

  • “Software” means the Edgevision mobile application, including all updates, upgrades, and documentation provided by Licensor.
  • “Edgevision System” means the Licensor-manufactured hardware device with which the Software is designed to operate.
  • “License” means the limited, non-exclusive right to use the Software as described in this Agreement.
  • “Device” means any Android or iOS mobile device on which the Software is installed.

3. GRANT OF LICENSE

Subject to the terms of this Agreement, Licensor grants End User a limited, non-exclusive, non-transferable, revocable commercial license to:

  • Install and use the Software on multiple Devices owned or controlled by End User;
  • Use the Software solely in connection with a validly purchased Edgevision System;
  • Use the Software for End User’s own internal business purposes.

 

This License is bundled with the purchase of an Edgevision System and is not sold separately.

4. LICENSE RESTRICTIONS

End User shall NOT:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software;
  • Redistribute, sublicense, sell, rent, lease, or transfer the Software or any rights therein to any third party;
  • Use the Software with any hardware other than a validly purchased Edgevision System;
  • Copy or reproduce the Software except for reasonable backup purposes;
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
  • Use the Software to develop a competing product or service;
  • Use the Software in any manner that violates applicable local, state, national, or international laws.

5. SUPPORTED PLATFORMS

The Software is designed to operate on the following platforms:

  • Android (minimum version as specified in the Edgevision System documentation)
  • iOS (minimum version as specified in the Edgevision System documentation)

 

Licensor does not warrant compatibility with all Device models or operating system versions.

6. DATA COLLECTION AND PRIVACY

The Software does not transmit personal or operational data to Licensor or any third party. All data collected or generated by the Software is stored locally on the End User’s Device and remains under the End User’s control.

Licensor is not responsible for the security or loss of locally stored data. End User is solely responsible for implementing appropriate data backup and security measures on their Devices.

7. INTELLECTUAL PROPERTY

The Software, including all content, features, functionality, source code, object code, graphics, logos, and trademarks, is the exclusive property of AI4RVI, Inc. and is protected by United States and international intellectual property laws.

This Agreement does not convey to End User any ownership interest in the Software. End User acquires only the limited license rights expressly set forth herein. All rights not expressly granted are reserved by Licensor.

8. UPDATES AND MODIFICATIONS

Licensor may, at its sole discretion, release updates, patches, or new versions of the Software. End User acknowledges that:

  • Updates may be required for continued operation of the Software with the Edgevision System;
  • Licensor is under no obligation to provide updates or to maintain backward compatibility;
  • Continued use of the Software after an update constitutes acceptance of any modified terms.

9. DISCLAIMER OF WARRANTIES

The software is provided “as is” and “as available” without warranty of any kind, express or implied. To the maximum extent permitted by applicable law, licensor expressly disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • Warranties that the software will meet end user’s requirements or operate without error or interruption;
  • Warranties regarding the accuracy or reliability of any results obtained through use of the software.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall AI4RVI, inc., its officers, directors, employees, or agents be liable for any:

  • Indirect, incidental, special, consequential, or punitive damages;
  • Loss of profits, revenue, data, goodwill, or business opportunities;
  • Damages arising from inability to use the software or Edgevision system;
  • Damages exceeding the amount paid by end user for the Edgevision system.

 

These limitations apply regardless of the legal theory under which damages are sought, even if licensor has been advised of the possibility of such damages.

11. INDEMNIFICATION

End User agrees to indemnify, defend, and hold harmless AI4RVI, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • End User’s breach of this Agreement;
  • End User’s use of the Software in violation of applicable law;
  • End User’s use of the Software with unauthorized hardware or systems.

12. TERM AND TERMINATION

This Agreement is effective upon End User’s first use of the Software and shall remain in effect until terminated.

Licensor may terminate this Agreement immediately upon written notice if End User:

  • Materially breaches any provision of this Agreement;
  • Uses the Software with unauthorized hardware;
  • Engages in reverse engineering, redistribution, or other prohibited activities.

 

Upon termination, End User must immediately cease all use of the Software and delete all copies from their Devices. Sections 7, 9, 10, 11, and 13 shall survive any termination of this Agreement.

13. GOVERNING LAW AND DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved exclusively in the state or federal courts located in New York. End User hereby consents to the personal jurisdiction of such courts and waives any objection to venue therein.

14. GENERAL PROVISIONS

14.1 Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the Software and supersedes all prior or contemporaneous understandings, negotiations, or agreements, whether oral or written.

14.2 Amendments

Licensor reserves the right to modify this Agreement at any time. Updated versions will be made available at ai4rvi.com. Continued use of the Software after any modification constitutes acceptance of the updated Agreement.

14.3 Severability

If any provision of this Agreement is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14.4 Waiver

Failure by Licensor to enforce any provision of this Agreement shall not constitute a waiver of Licensor’s right to enforce such provision in the future.

14.5 Assignment

End User may not assign or transfer this Agreement or any rights hereunder without prior written consent from Licensor. Licensor may assign this Agreement freely. Any unauthorized assignment is void.

14.6 Export Compliance

End User agrees to comply with all applicable United States and international export control laws and regulations in connection with End User’s use of the Software.

BY USING THE EDGEVISION APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
