Edgevision Remote Visual Inspection System

Effective Date: September 1, 2026

These Terms and Conditions of Sale (“Terms”) govern the purchase, delivery, and use of the Edgevision™ Remote Visual Inspection System, including associated hardware and software, sold by AI4RVI, Inc (“Company”, “we”, or “us”). By placing an order or accepting delivery of an Edgevision™ System, you (“Customer” or “you”) agree to be bound by these Terms.

2. ORDERS AND ACCEPTANCE

All orders are subject to acceptance by AI4RVI, Inc. An order is deemed accepted when the Company issues a written order confirmation or ships the product, whichever occurs first. The Company reserves the right to refuse or cancel any order at its discretion prior to acceptance.

Purchase orders, quotations, and invoices issued by the Company are incorporated into these Terms. In the event of a conflict, the Company’s invoice or order confirmation shall govern.

3. PRICING AND PAYMENT

3.1 Pricing

All prices are in U.S. Dollars and are exclusive of applicable taxes, duties, shipping, and handling unless otherwise stated in writing. Prices are subject to change without notice prior to order acceptance.

3.2 Payment Terms

Payment is due net thirty (30) days from the invoice date unless alternative terms are agreed in writing. Overdue amounts shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by law, whichever is lower.

3.3 Taxes

Customer is responsible for all applicable sales, use, value-added, and other taxes related to the purchase, unless Customer provides a valid tax exemption certificate prior to invoicing.

4. DELIVERY AND SHIPPING

4.1 Delivery Terms

Unless otherwise agreed, delivery is FOB (Free On Board) origin. Risk of loss or damage passes to Customer upon delivery to the carrier. The Company will use commercially reasonable efforts to meet stated delivery dates but is not liable for delays.

4.2 Shipping Costs

Shipping and handling charges are the responsibility of the Customer unless otherwise agreed in writing.

4.3 Inspection

Customer must inspect all shipments upon receipt and notify the Company in writing of any visible damage or discrepancy within five (5) business days of delivery. Failure to provide timely notice constitutes acceptance of the shipment as received.

5. HARDWARE WARRANTY

5.1 Limited Warranty

AI4RVI, Inc. warrants that the Edgevision™ hardware system will be free from defects in materials and workmanship under normal use and service conditions for a period of one (1) year from the date of original shipment (“Warranty Period”).

5.2 Warranty Remedies

During the Warranty Period, the Company will, at its sole discretion:

  • Repair or replace the defective hardware at no charge; or
  • Issue a credit or refund for the purchase price of the defective unit.

5.3 Warranty Exclusions

This warranty does not cover:

  • Damage resulting from accident, misuse, abuse, neglect, or unauthorized modification;
  • Damage caused by operation outside permitted environmental or electrical specifications;
  • Consumable parts or cosmetic damage;
  • Damage caused by service performed by persons not authorized by AI4RVI, Inc.;
  • Products with removed or altered serial numbers.

5.4 Warranty Claim Process

To obtain warranty service, Customer must contact support@ai4rvi.com within the Warranty Period with a description of the defect and proof of purchase. The Company will provide a Return Merchandise Authorization (RMA) number and return shipping instructions. Customer is responsible for return shipping costs unless the defect is confirmed as covered.

6. RETURNS AND REFUNDS

Returns are accepted within thirty (30) days of delivery for products in original, unused condition with original packaging. A Return Merchandise Authorization (RMA) number must be obtained prior to returning any product. Unauthorized returns will be refused.

Refunds will be issued within fifteen (15) business days of receipt and inspection of returned goods. Shipping and handling fees are non-refundable. A restocking fee of up to fifteen percent (15%) may apply.

7. SOFTWARE LICENSE

Use of the Edgevision™ mobile application is governed by a separate End User License Agreement (EULA) provided with the Edgevision™ System. The EULA is incorporated herein by reference. In the event of conflict between these Terms and the EULA with respect to software matters, the EULA shall govern.

8. SUPPORT AND MAINTENANCE

8.1 Standard Support

The Company provides email-based technical support for Edgevision™ Systems during the Warranty Period. Support requests should be directed to support@ai4rvi.com. The Company will use commercially reasonable efforts to respond within two (2) business days.

8.2 Out-of-Warranty Support

Support and repair services provided after expiration of the Warranty Period are subject to the Company’s then-current service rates and availability.

8.3 Software Updates

Software updates for the Edgevision™ application, if made available, are provided subject to the terms of the EULA. The Company does not guarantee the availability or timing of software updates.

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law, AI4RVI, inc.’s total cumulative liability to customer for any claims arising under or related to these terms shall not exceed the amount paid by customer for the Edgevision™ system giving rise to the claim.

In no event shall AI4RVI, inc. Be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

10. INTELLECTUAL PROPERTY

All intellectual property rights in the Edgevision™ System, including hardware designs, firmware, software, documentation, trademarks, and trade dress, are and shall remain the exclusive property of AI4RVI, Inc. These Terms do not grant Customer any ownership rights in such intellectual property.

11. COMPLIANCE AND REGULATORY

Customer is solely responsible for ensuring that use of the Edgevision™ System complies with all applicable federal, state, local, and international laws, regulations, and industry standards, including but not limited to workplace safety regulations, inspection certification requirements, and data protection laws applicable to Customer’s industry and jurisdiction.

12. EXPORT CONTROLS

The Edgevision™ System may be subject to U.S. export control laws and regulations. Customer agrees to comply with all applicable export laws and regulations and shall not export or re-export the Edgevision™ System to any country, person, or entity prohibited by U.S. law without first obtaining all required U.S. government authorizations.

13. FORCE MAJEURE

Neither party shall be liable for delays or failures in performance resulting from causes beyond that party’s reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, labor disputes, government actions, or supply chain disruptions. The affected party shall promptly notify the other and use commercially reasonable efforts to resume performance.  If a Force Majeure Event involves the implementation of new, unquoted tariffs not included in the original pricing that materially increases the cost of performance, the affected party may request a reasonable price adjustment to reflect the increased costs.

14. GOVERNING LAW AND DISPUTES

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in New York. Customer consents to personal jurisdiction in such courts.

15. GENERAL PROVISIONS

15.1 Entire Agreement

These Terms, together with the EULA and any executed order confirmation, constitute the entire agreement between the parties with respect to the Edgevision™ System and supersede all prior agreements, representations, and understandings.

15.2 Amendments

The Company reserves the right to update these Terms at any time. The version in effect at the time of order acceptance shall govern that transaction. Updated Terms are posted at ai4rvi.com.

15.3 Severability

If any provision of these Terms is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force.

15.4 Waiver

Failure by either party to enforce any provision shall not constitute a waiver of future enforcement rights.

15.5 Assignment

Customer may not assign these Terms or any rights hereunder without prior written consent from the Company. The Company may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.
